1 Acceptance of these Terms

These Terms of Use are a legally binding agreement between the person or organisation using the services and 204Labs FZE, a company registered in SPC Free Zone, Sharjah, UAE under licence number 4432199.

By accessing or using our websites, applications, software, products, accounts, content, support channels, or related services, you agree to these Terms. If you use the services for an organisation, you confirm that you have authority to bind that organisation, and references to you include that organisation.

If a separate written agreement between you and 204Labs FZE applies to a service, that written agreement will control to the extent of any conflict.

2 The services

204Labs FZE provides software, digital tools, content, artificial intelligence-enabled features, document and workflow generation tools, educational technology features, and related online services. The exact features available to a user may depend on the plan, account type, region, configuration, and customer agreement.

We may improve, modify, suspend, discontinue, rename, or replace features from time to time. We will not materially reduce paid core functionality during a paid subscription period without a lawful basis, a reasonable substitute, or another remedy required by the applicable agreement or mandatory law.

3 Eligibility and accounts

You must have legal capacity to accept these Terms. If you are under the age of majority, you may use the services only with the consent and supervision of a parent or legal guardian, or through an authorised school, teacher, institution, employer, or organisation.

You must provide accurate account information, keep it current, protect your credentials, and promptly notify us of suspected unauthorised use. You are responsible for activity under your account unless the activity is caused by our breach of these Terms or applicable law.

4 Customer and user content

You and your licensors retain ownership of content, files, prompts, instructions, data, materials, and other information that you submit to the services. You grant 204Labs FZE a non-exclusive, worldwide, royalty-free licence to host, process, transmit, display, reproduce, modify, create technical copies of, and otherwise use that content only as needed to provide, secure, support, improve, and operate the services, comply with law, and enforce these Terms.

You are responsible for ensuring that you have all rights, permissions, notices, and consents required to submit content to the services and to permit us to process it. You must not submit unlawful, infringing, confidential, personal, sensitive, student, child, health, biometric, identification, financial, or regulated data unless you have authority to do so and the submission is necessary for your permitted use.

5 Generated outputs and professional review

The services may generate text, documents, summaries, recommendations, classifications, analyses, or other outputs. Outputs may be inaccurate, incomplete, duplicated, unsuitable, or affected by the quality of user inputs. You are responsible for reviewing, validating, and approving outputs before relying on or publishing them.

Unless expressly agreed in writing, the services do not provide legal, medical, financial, tax, immigration, accounting, professional, or regulated advice. You should obtain qualified professional advice before relying on outputs for high-impact, legal, compliance, financial, safety, health, employment, educational placement, or other sensitive decisions.

Subject to your compliance with these Terms and any applicable customer agreement, 204Labs FZE assigns to you any rights it may have in outputs generated for you, except for our pre-existing intellectual property, service technology, templates, models, tools, methods, prompts, system instructions, and generally applicable know-how.

6 Acceptable use

You must use the services lawfully, responsibly, and only for authorised purposes. You must not:

7 Intellectual property

The services, software, interfaces, workflows, templates, documentation, trademarks, branding, design elements, databases, models, prompts, methods, know-how, and other technology of 204Labs FZE are owned by 204Labs FZE or its licensors and are protected by intellectual property and other laws.

Except as expressly allowed by these Terms or a written agreement, you may not copy, modify, translate, distribute, sell, lease, sublicense, publicly display, create derivative works from, or exploit the services or our intellectual property.

8 Fees, subscriptions, taxes, and refunds

Fees, billing periods, renewal terms, usage limits, cancellation rights, and payment methods are stated at checkout, in an order form, in a customer agreement, or inside the service. You authorise us and our payment providers to charge applicable fees, taxes, and renewal amounts using the payment method provided.

Unless mandatory law or a written agreement provides otherwise, fees are non-refundable once a paid period or purchased service has begun. Nothing in these Terms limits consumer rights that cannot lawfully be excluded, including rights under applicable UAE consumer protection laws and their executive regulations.

You are responsible for all taxes, duties, bank charges, currency conversion charges, and similar amounts associated with your purchase, except taxes based on our income.

9 Privacy

Our processing of personal data is described in the Privacy Policy. By using the services, you acknowledge that personal data may be processed as described there and in any applicable customer agreement, data processing agreement, or product notice.

10 Third-party services

The services may include or connect to third-party platforms, content, libraries, models, application programming interfaces, payment processors, hosting providers, analytics services, or integrations. Third-party services are governed by their own terms and policies. We are not responsible for third-party services except where applicable law or a written agreement states otherwise.

11 Confidentiality

Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information and may use it only for the purpose of performing or receiving the services, unless disclosure is authorised, required by law, or permitted by the disclosing party.

12 Suspension and termination

We may suspend or restrict access to the services if we reasonably believe that you have breached these Terms, created security or legal risk, failed to pay amounts due, used the services unlawfully, or caused harm to the services, other users, or third parties.

You may stop using the services at any time. Termination does not affect rights or obligations that accrued before termination, including payment obligations, confidentiality obligations, limits of liability, intellectual property rights, and provisions that by their nature should survive.

13 Disclaimers

The services are provided on an as-is and as-available basis, except as expressly stated in a written agreement or required by applicable law. To the maximum extent permitted by law, 204Labs FZE disclaims all implied warranties, conditions, and representations, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and accuracy of outputs.

We do not guarantee that the services will be uninterrupted, secure, free of errors, free of harmful components, compatible with every system, or suitable for every purpose. We do not guarantee that any output will be accurate, complete, lawful for your use, or accepted by any authority, customer, school, employer, platform, regulator, court, or other third party.

14 Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence, statutory consumer rights, or other non-excludable rights under applicable law.

To the maximum extent permitted by law, 204Labs FZE and its directors, officers, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or similar damages, or for loss of profits, revenue, business, goodwill, data, content, use, opportunity, or anticipated savings, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of 204Labs FZE and its directors, officers, employees, contractors, service providers, and licensors arising out of or relating to the services or these Terms will not exceed the greater of the amount paid by you to 204Labs FZE for the service giving rise to the claim during the three months before the event giving rise to liability or AED 500.

15 Indemnity

To the maximum extent permitted by law, you will indemnify and hold harmless 204Labs FZE and its directors, officers, employees, contractors, service providers, and licensors from and against claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable legal fees, arising from your breach of these Terms, unlawful use of the services, user content, violation of third-party rights, or misuse of outputs.

16 Changes to these Terms

We may update these Terms from time to time. The updated Terms will be effective when posted or otherwise made available, unless a later effective date is stated. If changes materially affect a paid service during a current subscription period, we will take reasonable steps to notify affected users or customers as required by law or contract.

17 Governing law and courts

These Terms and any dispute or claim arising out of or relating to them, the services, or any non-contractual obligations are governed by the laws of the United Arab Emirates and, where applicable, the laws and regulations of the Emirate of Sharjah and SPC Free Zone, without regard to conflict-of-law rules.

Subject to mandatory law, the courts of Sharjah, United Arab Emirates will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the services.

18 General terms

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, restructuring, financing, sale, transfer, or corporate transaction, or as otherwise permitted by law.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect, and the invalid or unenforceable provision will be interpreted or replaced to achieve its lawful commercial purpose as closely as possible.

No failure or delay in enforcing a provision is a waiver. These Terms, together with any policies, product notices, order forms, and written agreements that apply, form the entire agreement for the relevant services.
